Terms of Use
Effective and last updated: September 15, 2026
1. The agreement
DealBrief is a software service operated by Logic Talk AI LLC, a Florida limited liability company ("we," "us"). These Terms of Use ("Terms") are an agreement between you and Logic Talk AI LLC. By creating an account or using DealBrief, you agree to these Terms and to our Privacy Policy. If you use DealBrief for a company, you confirm you may accept these Terms for it.
You must be at least 18 years old. DealBrief is for business use by real estate professionals.
2. What DealBrief is, and is not
- DealBrief uses AI (Anthropic's Claude) to draft Offering Memoranda, Deal Intelligence reports, and answers to questions about a report, from the information you provide.
- Every output is a draft for your review and refinement before any external distribution. Outputs can contain arithmetic errors, wrong terms, omissions, and inaccurate statements about markets or properties.
- DealBrief does not provide legal, tax, financial, investment, appraisal, valuation, or brokerage advice. Any assessment, price indication, or analytical read in an output is software-generated, not a professional opinion or an appraisal. Get advice from qualified licensed professionals before any acquisition, financing, listing, or investment decision.
- DealBrief does not list, market, negotiate, or represent anyone in a real estate transaction.
3. Your responsibilities
- Review and verify every figure, fact, and claim in an output before sharing it with anyone.
- Make sure anything you distribute complies with the real estate, securities, advertising, and licensing laws that apply to you, and with your contracts with clients and counterparties.
- Only upload information you have the right to share. Do not upload data you are contractually barred from sharing, and do not upload personal information about residential tenants beyond what a legitimate deal evaluation needs.
- Do not present an output as professional advice, an appraisal, or a final client-ready document.
4. Your account
- You sign in with a link sent to your email. Keep your email account secure; you are responsible for activity on your DealBrief account.
- Each account is for one person. Do not share sign-in links or sessions.
5. Plans, billing, and automatic renewal
- Free tier: a limited number of runs per email address, as shown on the pricing page. No card required.
- Paid plans: prices, monthly run limits, and features are shown on the pricing page at the time you subscribe. Payments are processed by Stripe.
- Automatic renewal: paid plans are billed monthly in advance and renew automatically every month until you cancel. By subscribing, you authorize us to charge your payment method each month.
- Cancel anytime: from your account page, through the Stripe customer portal. No call or email is required. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
- Price changes: we will email you at least 14 days before a new price applies to your next charge. You can cancel before it applies.
- Taxes, if any, are added as required by law.
6. Refunds
- 7-day refund: you can get a full refund of your first paid charge by requesting it from your account page within 7 days of that first payment, for any reason. The refund is issued right away, your subscription ends immediately, and your account returns to the free tier. Your bank typically shows the credit within 5 to 10 business days.
- After 7 days, charges are not refundable and there are no refunds for partial months, except where the law requires otherwise. You can still cancel future charges at any time.
- For billing errors, email franco@logictalk.ai and we will fix them.
7. Your data and outputs
- You keep ownership of what you upload and of the outputs generated for you.
- You give us permission to store and process your uploads and outputs only to run DealBrief for you, as described in the Privacy Policy.
- We may use aggregated, de-identified patterns (for example, cap rate ranges by submarket) to improve DealBrief. These contain no personal information and no property addresses.
8. Acceptable use
You agree not to:
- Use DealBrief for anything unlawful or in violation of anyone's rights.
- Create multiple or automated accounts, or otherwise get around free-tier or plan limits.
- Scrape, reverse engineer, or try to extract DealBrief's prompts, models, or system design, or probe it for security weaknesses.
- Resell DealBrief or its outputs as a service to others, or use it to build a competing product, without our written permission.
- Overload the service or interfere with other users.
We may suspend or close accounts that break these Terms or exceed fair use. If we close a paid account without cause, we will refund the unused part of your current month.
9. Changes to DealBrief
We may change, pause, or discontinue features or the service. If we discontinue DealBrief entirely, we will give active paid users at least 30 days' email notice and stop future charges.
10. Disclaimer of warranties
DEALBRIEF AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT PROMISE THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR CURRENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DEALS, OR DATA, INCLUDING LOSSES FROM RELYING ON OR DISTRIBUTING AN OUTPUT. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO DEALBRIEF WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR DEALBRIEF IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS.
Nothing in these Terms limits liability that the law does not allow to be limited.
12. Indemnification
You will cover our reasonable losses and legal costs from third-party claims arising from your distribution of or reliance on outputs, data you uploaded without the right to do so, your violation of law, or your breach of these Terms.
13. Governing law and disputes
Florida law governs these Terms, without regard to conflict-of-law rules. Before filing any claim, each side agrees to try to resolve the dispute in good faith for 30 days after written notice to the other. If that does not resolve it, the dispute will be decided only by the state or federal courts located in Miami-Dade County, Florida, and both sides consent to those courts' jurisdiction. To the extent the law allows, claims may be brought only on an individual basis and not as part of a class or representative action.
14. Ending your account
You can delete your account at any time from your account menu. Deletion is permanent, cancels any active subscription immediately, and removes your data as described in the Privacy Policy. Sections 2, 3, 7, and 10 through 15 continue to apply after your account ends.
15. General
- Entire agreement. These Terms and the Privacy Policy are the full agreement about DealBrief.
- Severability. If a court finds part of these Terms unenforceable, the rest still applies.
- No waiver. Not enforcing a term now does not waive it later.
- Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger or sale of the business.
- Electronic notices. You agree to receive notices by email at your account address. Notices to us go to franco@logictalk.ai.
16. Changes to these Terms
We will email active accounts at least 14 days before a material change takes effect. Continuing to use DealBrief after that date means you accept the change. Changes do not apply to disputes that arose before they took effect.
